Terms of Use – Incilo

Welcome to Incilo, a technology-driven marketplace for city logistics procurement and management. These Terms of Use ("Terms") outline the rules and regulations for accessing and using our platform, which includes our website, mobile application, WhatsApp chatbot, and AI-powered services (collectively, the "Platform"). By using any part of Incilo, you agree to be bound by these Terms.
1. Definitions
- "Incilo" refers to the digital platform acting as an aggregator of intra-city logistics services.
- "User" means any person or entity that uses the Incilo platform, including individuals and businesses.
- "Vendor" means service providers offering logistics services (warehouses, vehicles, personnel) via Incilo.
- "Services" include warehouse/godown leasing, mini-truck and bike rentals (on-demand and contract), and associated logistics management.
- "ML-Powered Chatbot" refers to Incilo's AI chatbot that operates over channels like WhatsApp for bookings, support, and updates.
2. Scope of Services
2.1. Warehouse/Godown Leasing
- Search, compare, and lease spaces via verified vendor listings.
- Lease agreements are digitally facilitated and legally binding.
- All listings are subject to availability and verification.
2.2. Mini-Truck and Bike Rentals
- On-Demand Rentals: Immediate short-term vehicle booking.
- Contract-Based Rentals: Long-term, milestone-based vehicle leasing.
- Rental pricing is dynamic and influenced by time, location, vendor policy, and demand.
2.3. Digital Procurement & Management Dashboard
- A central dashboard enables real-time service management: booking, tracking, alerts, invoicing, analytics.
- Integrated vendor selection, booking workflows, AI assistant, and service history.
2.4. AI-Powered Assistance
- ML-Powered Chatbot available via WhatsApp and other channels.
- Integrates with OpenAI-based services for vendor search, smart recommendations, and booking assistance.
3. User Eligibility & Responsibilities
3.1. Eligibility
- You must be 18 years or older.
- Businesses must submit valid registration documents and KYC.
3.2. Responsibilities
- Provide accurate information when registering and transacting.
- Adhere to local laws, tax obligations, and logistics regulations.
- Avoid fraudulent activities, including fake bookings and misuse of services.
4. Payment Policy
4.1. Payment Structure
(A) On-Demand Orders (Instant Payment Required)
- 100% payment is required immediately upon order confirmation.
- Services won't commence until full payment is made.
- Accepted methods: UPI, Card, Net Banking, Wallets.
(B) Contract-Based Orders (Milestone Payments)
- ₹30,000–₹1,00,000: 50% advance, 50% after completion.
- ₹1,00,000–₹5,00,000: 30% initial, 50% mid-service, 20% on completion.
4.2. Early Payment Discounts
- 2–3% discount for full upfront payment on eligible contracts.
4.3. Credit Terms for Trusted Clients
- Net 30 or Net 45 available for long-term clients with strong history.
4.4. Invoice & Payment Tracking
- Digital invoices issued via dashboard; automated payment reminders enabled.
4.5. Secure Payments
- On-demand: Instant digital payments.
- Contract-based: UPI, Cards, Net Banking, or Escrow.
4.6. Credit Policy & Blacklisting
- Clients with unpaid dues may be blacklisted or required to prepay future orders.
5. Vendor Obligations & Quality
5.1. Verification
- Vendors must undergo document and service verification.
- All assets (vehicles, warehouses) must meet legal and safety norms.
5.2. Performance & Liability
- Vendors are liable for timely execution and service quality.
- Incilo facilitates disputes but is not directly liable for vendor defaults.
6. Platform Usage & Restrictions
6.1. Authorized Use
- Use the platform solely for legitimate logistics procurement.
- Prohibited activities: Scraping, tampering, hacking, or misuse.
6.2. Prohibited Items for Transport
- Weapons, explosives, illegal substances.
- Hazardous or perishable items (unless explicitly allowed).
7. Privacy & Confidentiality
7.1. Data Usage
- We collect and process personal and usage data for operations, analytics, and compliance.
- Data is stored securely and not sold to third parties.
7.2. Confidentiality
- Vendors and users must maintain confidentiality in pricing and contracts.
- Legal disclosures will be made to law enforcement as required.
8. Disputes & Limitation of Liability
8.1. Dispute Resolution
- Issues must first be raised with Incilo Support.
- Unresolved disputes go through Incilo Mediation Service.
8.2. Limitation of Liability
- Incilo acts as a technology intermediary only.
- We are not liable for vendor delays, loss, or damages.
- Users are encouraged to insure goods separately.
9. Termination & Suspension
9.1. Updates to Terms
- We may update Terms to reflect operational, legal, or technical changes.
- Continued use indicates your agreement to such updates.
9.2. Termination Rights
- Users may deactivate accounts anytime.
- Incilo may suspend/terminate accounts that breach these Terms.
10. Governing Law & Jurisdiction
- These Terms are governed by Indian Law.
- Disputes will be subject to arbitration in Bhopal, per the Arbitration and Conciliation Act, 1996.
